The downloaded file replaces your old Entourage with a whole new version. It doesn't automatically upgrade your settings or data so when you start it up for the first time you may think you lost your data but you didn't, simply import your old data by using the File>Import command and your old user account will seamlessly be imported.
I had no problems at all with this and it was very smooth for me. Good luck.

Personally I don't use an Exchange server so I can't comment on that part of this update but the improvements to stand-alone functionality are awesome!

i checked in with my exchange provider and they are running the latest.. a beta of web services edition works for them...
